Jordan Gnat, Executive Vice President

JORDAN GNAT is an Executive Vice President of Kilmer Group. Mr. Gnat joined Kilmer in September 2002. His role in the
company is to extend and diversify Kilmer's interests in the entertainment, gaming, sports and infrastructure sectors while
looking for new industry sectors that Kilmer currently does not participate in. Essential to this growth is finding
established companies that are synergistic with Kilmer's existing portfolio. Expansion also includes taking current Kilmer
investments and working with their management to further examine new growth opportunities. Mr. Gnat works as a hands-on
participant with existing management in new investments to further company growth and ensure the successful execution of
Kilmer's investment mandate.

Prior to joining Kilmer, Mr. Gnat spent 8 years working for Midnorthern Appliance. Mr. Gnat began working in the retail sales
division and was promoted to Executive Vice President in 1998, responsible for all special projects, acquisitions and new
business initiatives. In October 1999, led by Mr. Gnat, Midnorthern entered into an agreement to purchase its largest
competitor. After successfully raising financing, Mr. Gnat completed the acquisition in May 2000, and became President and
Chief Executive Officer of the combined Midnorthern Group company. During his tenure at Midnorthern, Mr. Gnat oversaw the
growth of the company from $14 million in annual sales to over $120 million prior to its sale in 2002.

In April 2001, Mr. Gnat was awarded the prestigious Canada's Top 40 under 40TM award.
Canada's Top 40 Under 40TM is a national program to honour Canadians who have reached a significant level of success but have
not yet reached the age of 40.

Mr. Gnat has a Bachelor of Arts degree in Political Science from The University of Western Ontario. |
